Review & Execute the Annually Services Agreement

The User shall read and accept each of the ten Articles in turn. Each Article so accepted shall form the corresponding page of the executed ten-page Agreement between Tender Labs and the User.

Preamble & Recitals

THIS SERVICES AGREEMENT (the “Agreement”) is made and entered into on the date of electronic execution recorded herein, BY AND BETWEEN GeMTech PARAS Solutions Private Limited, operating under the brand Tender Labs, of the First Part (hereinafter referred to as “Tender Labs”, which expression shall, unless repugnant to the context, include its successors and permitted assigns); AND the subscribing client identified in Article X, of the Second Part (hereinafter referred to as the “User”, which expression shall, unless repugnant to the context, include its successors and permitted assigns). Tender Labs and the User are hereinafter referred to individually as a “Party” and collectively as the “Parties”.

WHEREAS, Tender Labs is engaged in the business of providing marketplace facilitation, bid management, catalogue, representation and allied professional support services;

AND WHEREAS, the User desires to avail such services upon the fixed-fee plan and elections recorded in the Articles that follow;

NOW, THEREFORE, in consideration of the mutual covenants, undertakings and consideration set out herein, the receipt and sufficiency whereof is acknowledged, the Parties hereby agree as follows:

Engagement & Term

The User hereby engages Tender Labs for a term of 12 months. The User shall pay a fixed monthly fee in consideration of the services enumerated in Article II. Such fee is consideration for the services rendered and shall not be construed as consideration referable to any order won by the User.

In simple words: the User pays ₹25,000 every month for the service. If the User also wins orders, a separate success fee applies, as set out in Article IV.
